Corporate Governance / Contracts
- Incorporation of companies and assisting the establishment stage, opening up branches and establishment of liaison offices,
- Assisting corporate goveranance actions such as shareholders and board meetings, regulation of signature authorities, articles of association amedments,
- Drafting memoranda on corporate law related matters and capital markets legislation issues,
- Conducting due diligence reviews, preparing risk analysis reports prior to engaging in any form of drafting for transaction documents, drafting and negotiation of shareholders and joint venture agreement,
- Obtaining work and residence permits for expatriates who need to work and reside in Turkey,
- Drafting and negotiating loan agreement and security package, advising banks and other lenders as well as borrowers on financing transactions,
- Making trademark, patent and industrial design registrations with the Turkish Patent Institute and attending administrative proceedings at any level in connection with registration applications, handling intellectual property law related disputes,
- Drafting employment contracts, or adopting client internationally used employment contracts under Turkish Labour law, counses on day-to-day handling of employment law relared matters such as advising on holiday entitlements, over time payments, disiplinary actions,drafting work place regulations and policies, handling employment law related disputes before Turkish courts including but not limited to re-employment lawsuits, compensation lawsuits, managing employee termination procedures, prosecution of ex employees illegally transfering corporate data and trade secrets to their new workplace,
- Drafting and negotiation of documents such as; license, know how transfer, supply, lease, technology transfer, trade secrets protection, confidentiality, trademark transfer, software and/or database transfer, creative works acquisition, publishing rights, revenue sharing, sponsorship, distribution and service agreements, web site user and confidentiality policies, which may eventually be required during the course of the business.
